The agreement, in plain sentences.
We have kept this short and readable on purpose. Nothing here is hidden behind a defined term you have to look up.
The agreement
These terms are between Verdant Software Ltd and the practice that holds the account. Using Verdant means agreeing to them. If you are accepting on behalf of a practice, you are confirming you have the authority to do so.
Two documents form part of this agreement and are worth reading alongside it: the privacy notice and the data processing addendum, which is included automatically and does not need to be requested.
Your account
You are responsible for keeping credentials secure and for what happens under your account. Tell us promptly if you believe an account has been compromised — security@verdant.example.com reaches a human within one business day.
You must be legally able to practise in your jurisdiction and to hold the records you put into Verdant. Verdant is a tool for record-keeping; it does not make clinical judgements and is not a substitute for one.
Payment
Plans are billed monthly or annually in advance, per practitioner with a calendar. Reception staff, practice managers and bookkeepers are free and unlimited.
- Upgrades take effect immediately and are prorated for the remaining period.
- Downgrades take effect immediately and credit the difference against your next invoice. We do not refund the difference in cash.
- Card processing is 2.6% + 30¢, charged by the processor and passed through at cost. We take no margin on payments.
- Prices are exclusive of VAT and sales tax, which are added where applicable.
If a payment fails we retry for 14 days and email you. After that the account moves to read-only — it is never deleted for non-payment.
Trial and cancellation
The trial runs for 14 days and needs no card. When it ends nothing is charged and nothing is deleted; the account becomes read-only until you add a card, and everything entered during the trial stays exactly as you left it.
Solo and Practice are month to month and cancel with one click, effective at the end of the current period. Group plans follow the term in their order form.
On cancellation you keep export access for 90 days. We do not charge an export fee and never have.
Your data stays yours
You own everything you put into Verdant. We claim no licence over your clinical records beyond what is needed to run the service for you — storing it, backing it up, showing it to the people you authorise.
We do not use your clients' records to train machine learning models, ours or anyone else's. We do not sell them. We do not mine them for a benchmark report.
Aggregate, fully anonymised statistics — how many practices use a given feature — may inform what we build. Nothing in that process can be traced back to a practice or a person.
Acceptable use
Do not use Verdant to store records you have no lawful basis to hold, to send unsolicited marketing to clients, to attempt to access another practice's data, or to probe our systems outside the responsible disclosure process on our security page.
We will suspend an account for a serious breach of this section. Where the situation allows it we contact you first.
Availability
We target 99.95% monthly uptime, measured externally and published. Planned maintenance is announced at least five days ahead and scheduled outside 07:00–19:00 in your practice's main timezone wherever possible.
If uptime falls below the target in a month, Group customers receive service credits under their order form. For Solo and Practice, contact us — we have never refused a credit request that the status page supported.
Liability
Verdant is provided as described on this site and in the documentation. To the extent the law allows, our total liability in any twelve-month period is limited to the fees you paid us in that period.
We do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
You remain responsible for your own clinical decisions, your professional insurance, and your obligations to your regulator.
Changes to these terms
We may update these terms. Material changes are emailed to account holders at least 30 days before they take effect, and the previous version stays available for comparison. Continuing to use Verdant after that date means accepting the new version.
We will not introduce a change that reduces your right to export your data. That one is not up for revision.
Governing law
These terms are governed by the laws of Sweden, and the courts of Malmö have exclusive jurisdiction — except that either party may seek injunctive relief wherever necessary to protect its intellectual property or, in your case, your clients' records.
